TERMS AND CONDITIONS FOR USE OF FURNIS APP

Introduction

Welcome to Furnis, a CI/CD and DevOps platform for deploying smart contracts and executing on-chain transactions (the "Service"). The following terms of service ("Terms") govern your use of the Service.

Acceptance of Terms

By using the Service, you agree to these Terms. If you do not agree to these Terms, please do not use the Service. We may modify these Terms at any time without notice to you. Your continued use of the Service after any such modification constitutes acceptance of the modified Terms.

Eligibility

You must be at least 18 years old to use the Service. By agreeing to these Terms, you represent and warrant that you are at least 18 years old or older. If you are using the Service on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind such entity and its affiliates to these Terms.

Privacy

We respect your privacy and will process any personal data you provide to us in accordance with our Privacy Policy. You acknowledge and agree that by providing your personal data to us, you consent to the processing of such data as described in our Privacy Policy.

AWS KMS Usage

You understand and agree that we use AWS KMS to manage users' private keys for secure storage and access control purposes. You understand that access to your Furnis account grants access to the use of these private keys for signing transactions, are responsible for maintaining the confidentiality of your password(s).

User-Provided Scripts

We integrate with GitHub to execute user-provided scripts within private Docker containers. You understand and agree that any script you provide will be executed in a controlled environment, and we have no responsibility for the results or consequences arising from such execution.

Liability

You acknowledge and agree that we shall not be liable for any damages, losses, or expenses incurred by you as a result of using our Service, including without limitation any direct, indirect, incidental, special, consequential, or punitive damages.

Intellectual Property

All intellectual property rights in the Service, including but not limited to copyrights, trademarks, patents, trade secrets, and know-how, are owned by Furnis or its licensors. You acknowledge that you have no right to modify, copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information, software, products, services, or materials obtained from the Service.

Indemnification

You agree to defend, indemnify and hold us harmless from and against any claims, actions, demands, liabilities, costs, damages, losses, expenses, and attorneys' fees resulting from (i) your use of the Service; (ii) any violation by you of these Terms; or (iii) any infringement by you of any intellectual property rights or other proprietary rights of third parties.

Termination

We reserve the right to suspend or terminate your access to the Service at any time for any reason, without notice. Upon termination, you shall immediately cease all use of the Service and destroy all copies of our content, including any data, databases, files, or software obtained from or through the Service.

Governing Law

These Terms are governed by and construed in accordance with the laws of the country where Furnis is headquartered, without giving effect to any conflicts of law principles.

Dispute Resolution

Any dispute arising out of or relating to these Terms shall be resolved through confidential and binding arbitration before a mutually agreed-upon arbitrator. The arbitration shall take place in the country where Furnis is headquartered, using the English language.

Entire Agreement

These Terms constitute the entire agreement between you and us with respect to the Service and supersede all prior or contemporaneous communications, agreements, and proposals, whether written or oral, between the parties.

Amendments

We may amend these Terms at any time by posting a revised version on our website or by notifying you directly. Your continued use of the Service after any such amendment constitutes acceptance of the amended Terms.

Severability

If any provision of these Terms is held invalid or unenforceable, it shall not affect the validity and enforceability of the remaining provisions.

By using the Furnis app, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree with these Terms, please do not use the Service.
